1. Application

1.1 These Clearance E-commerce Terms & Conditions (“Clearance Terms”) apply to all Equipment purchased via the Supplier’s website, online platform or clearance sale listings.

1.2 These Clearance Terms supplement and override the Supplier’s standard Conditions of Sale where there is any inconsistency.

2. Definitions

2.1 “Supplier” means Generation (UK) Ltd.
2.2 “Customer” means any person or entity acting wholly or mainly in the course of a trade, business, craft or profession, including sole traders and self-employed individuals.
2.3 “Equipment” means all goods listed for clearance sale, including new, surplus, and ex-hire equipment.
2.4 “Contract” means the agreement formed in accordance with these Terms.

3. Business Customers Only

3.1 The Supplier sells Equipment strictly on a business-to-business basis only.

3.2 By placing an order, the Customer warrants and represents that:

• (a) it is acting wholly or mainly in the course of a business; 

• (b) it is not a consumer; 

• (c) the Equipment is being purchased for business use only. 

3.3 This applies to sole traders and self-employed individuals.

3.4 The Supplier enters into the Contract in reliance on these representations and may cancel any order where it reasonably believes they are incorrect.

4. Order Process and Contract Formation

4.1 All listings, prices and product descriptions on the website are invitations to treat only.

4.2 A Contract is formed only when the Supplier:

• (a) issues written confirmation; or 

• (b) accepts payment and confirms the order. 

4.3 The Supplier reserves the right to:

• reject or cancel any order; 

• limit quantities; 

• withdraw listings at any time prior to acceptance. 

5. Clearance Equipment Condition

5.1 Clearance Equipment may include:

• ex-hire items; 

• used equipment; 

• surplus or discontinued stock. 

5.2 All Equipment is sold:

• as seen; 

• with all faults; 

• subject to wear and tear. 

5.3 Descriptions, images and specifications are approximate and do not form part of the Contract.

5.4 No sale is by sample.

6. Price and Payment

6.1 Prices are exclusive of VAT unless stated otherwise.

6.2 Payment must be made in full at the time of order unless the Customer holds an approved credit account.

6.3 Where a credit account applies:

• payment terms are 30 days from invoice; 

• all existing Conditions of Sale relating to credit apply. 

6.4 Payment must be made without deduction or set-off.

6.5 The Supplier reserves the right to:

• suspend or cancel orders; 

• charge interest on overdue sums; 

in accordance with its standard Conditions of Sale.

7. Delivery and Collection

7.1 Equipment is sold either:

• (a) for collection from a branch; or 

• (b) for delivery where agreed. 

7.2 Delivery dates are estimates only.

7.3 If the Customer fails or refuses to take delivery or collection:

• full payment remains due;
